Wholesale Terms
Grapple Gear provides B2B apparel manufacturing and private label solutions for BJJ gis, no-gi gear, and apparel to business customers worldwide. These Wholesale Terms explain how buying and manufacturing with us works for clothing brands, wholesalers, retailers, distributors, gyms, and teams. They apply together with our Terms & Conditions, and if there is a conflict, these Wholesale Terms apply to wholesale and manufacturing orders.
Who Can Buy Wholesale
Our wholesale and manufacturing program is for registered businesses, including:
- Clothing brands and startups
- Wholesalers, distributors, and resellers
- Retail stores and online sellers
- Gyms, martial arts academies, teams, and clubs
Products are sold for business and resale purposes, not for personal or household use. We may ask for proof of your business, such as a business registration, tax or VAT number, website, or resale certificate.
Wholesale Account Approval
To open a wholesale account, you may need to submit an application with accurate business details. We may approve, decline, or close any account at our discretion. You agree to keep your account details up to date and your login information confidential, and you are responsible for all activity on your account.
Minimum Order Requirements
- Wholesale and manufacturing orders are subject to minimum order quantities or values
- Minimums are confirmed in your quote [add details, for example: [X] pieces per design]
- Custom, private-label, and OEM orders may have separate minimums, as explained in our Production Policy
Wholesale Pricing
- Wholesale prices are available to approved business customers only
- Prices are quoted in [USD] unless your quote states otherwise
- Prices may change without notice, but confirmed orders keep the agreed price
- Volume discounts may be offered on larger orders
- Prices do not include shipping, taxes, or import duties unless stated
- If you pay in another currency, exchange rates and any bank or conversion fees are your responsibility
- Wholesale pricing is confidential and may not be shared publicly without our permission
Ordering and Quotes
You can request a quote through our quote form, place an order through our website, or contact our team. Manufacturing quotes are based on your products, quantities, materials, and customization. All orders are subject to acceptance and availability. A quote is valid for the period stated on it, and we may decline or cancel an order due to stock or material limits, pricing errors, payment issues, trade restrictions, or suspected fraud.
Payment Terms
- Payment is due as stated on your quote or invoice
- Custom and private-label production usually requires a deposit before production begins, with the balance due before shipping [confirm with the client]

- New accounts may be required to pay in full before shipping
- Approved accounts may be offered other payment terms at our discretion [if applicable]
- Late or failed payments may delay or cancel your order, and we may suspend your account
Taxes, Duties, and Customs
- Prices do not include sales tax, VAT, GST, or similar taxes unless stated
- International orders may be subject to import duties, customs fees, and local taxes charged by your country
- You are responsible for paying these charges and for meeting all local import requirements, licenses, and registrations
- If you are tax-exempt, please provide a valid resale or exemption certificate before your order is processed

Shipping and Delivery
We ship to business addresses worldwide, according to our Shipping Policy. Delivery times are estimates and may be affected by carriers, customs clearance, or local conditions. Risk of loss passes to you once the order is handed to the carrier. Please inspect your delivery on arrival and report any problems within [5] business days.
Custom and Private-Label Orders
Custom apparel manufacturing, private-label, white-label, and OEM orders are subject to our Production Policy, which covers samples, approvals, deposits, lead times, tolerances, and quality standards. Your approved designs, logos, and private-label branding remain your property.
Export Compliance
We comply with applicable export laws and trade sanctions. We cannot sell or ship to restricted countries, regions, or parties, and we may decline or cancel any order where shipping is not permitted. By placing an order, you confirm that your business and the delivery destination are not subject to such restrictions, and that you will not resell our products in violation of applicable laws.
Returns and Claims
Returns, exchanges, and refunds are handled under our Return & Refund Policy. In general, returns are accepted only for defective, damaged, incorrect, or missing items, and must be approved in advance. Custom and private-label orders cannot be returned or cancelled once production has started, except for defects.
Resale and Brand Use
- You may resell products made for you to your own customers
- You may not claim that your business is a manufacturer or authorized agent of Grapple Gear unless we agree in writing
- You may use our standard product images and descriptions for resale marketing only with our approval
- You may not use our name or logo in a misleading way
- You are responsible for following all laws that apply to the sale of your products in your market
Product Information and Compliance
We try to display product details, colors, and sizes accurately, but slight variations may occur. Buyers are responsible for checking size charts, specifications, and suitability for their customers. Buyers are also responsible for making sure the products meet any local labeling, safety, or import rules in their country, and for following competition and organization rules, such as uniform requirements, when selecting gear for athletes.
Account Suspension or Termination
We may suspend or end your wholesale account if you break these terms, provide false information, miss payments, or misuse our brand or products. You may close your account at any time by contacting us, though unpaid orders and balances remain due.
Liability
To the fullest extent permitted by law, Grapple Gear is not liable for indirect, incidental, or consequential damages, including lost profits or lost sales. Our total liability for any claim will not exceed the amount you paid for the affected order. See our Terms & Conditions for more details.
Changes To These Terms
We may update these Wholesale Terms from time to time to reflect changes in our services, legal requirements, or business practices. Updates will be posted on this page with a revised effective date, and continued use of our wholesale services means you accept the updated terms.
